These Terms of Service (“Terms”) govern the use of the website www.valleydevelopers.com and the services provided by Valley Developers (“we,” “us,” or “our”), a web development and design business operated as a sole proprietorship. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Valley Developers provides web development, web design, custom platform development, and e-commerce solutions, primarily using WordPress, WooCommerce, and related technologies. The specific scope, deliverables, timeline, and fees for any project are defined in a separate written agreement or proposal agreed upon between Valley Developers and the client.

2. Website Use

This website is provided for informational purposes and to facilitate contact with potential clients. You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You may not:

  • Use automated tools to scrape, copy, or extract content from this website.
  • Attempt to gain unauthorized access to any part of our website or systems.
  • Submit false, misleading, or harmful information through our contact form.

3. Quotes and Project Agreements

Any quote or proposal provided by Valley Developers is valid for 30 days from the date of issue unless otherwise stated. A project begins only upon written confirmation (including email) and receipt of any agreed deposit. Valley Developers reserves the right to decline any project request at its sole discretion.

4. Payment Terms

Unless otherwise agreed in writing:

  • A deposit of 50% of the total project fee is due before work commences.
  • The remaining balance is due upon project completion and prior to final delivery or website launch.
  • For ongoing retainer or maintenance services, payment is due at the beginning of each billing period.
  • Invoices not paid within 14 days of the due date may incur late payment fees or result in suspension of services.

All prices are quoted exclusive of VAT (where applicable). Valley Developers operates as a licensed business in Israel and will issue invoices in accordance with applicable Israeli tax law.

5. Intellectual Property

Client content: All content, logos, images, and materials provided by the client remain the property of the client.

Deliverables: Upon receipt of full payment, Valley Developers assigns to the client all ownership rights to the custom design and code created specifically for their project, excluding any third-party components, plugins, themes, or frameworks used under their own licenses.

Third-party components: Our work frequently includes open-source software (e.g., WordPress, WooCommerce), premium themes, and licensed plugins. These remain subject to their respective license terms, which may restrict redistribution or resale.

Portfolio rights: Valley Developers reserves the right to display completed work in our portfolio and use project names and general descriptions as references, unless the client requests confidentiality in writing prior to project completion.

6. Client Responsibilities

The client agrees to:

  • Provide all necessary content, materials, and access credentials in a timely manner.
  • Review and provide feedback on deliverables within agreed timeframes.
  • Ensure that all materials provided to Valley Developers are legally owned or licensed by the client.

Delays caused by the client’s failure to provide required materials or approvals may result in revised timelines and additional fees.

7. Revisions and Scope Changes

Each project agreement includes a defined number of revision rounds. Changes requested beyond the agreed scope, or changes to the project brief after work has commenced, may be subject to additional charges. Valley Developers will notify the client in writing before proceeding with out-of-scope work.

8. Warranties and Disclaimer

Valley Developers warrants that services will be performed with reasonable skill and care, and that deliverables will substantially conform to the agreed specifications.

We do not warrant that our work will be free from all errors, or that websites will achieve specific business outcomes (such as search rankings, conversion rates, or revenue targets). The website is provided “as is” for informational purposes, without warranties of any kind beyond those expressly stated herein.

9. Limitation of Liability

To the fullest extent permitted by law, Valley Developers shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or website, including but not limited to loss of revenue, data, or business opportunity.

Our total liability to any client shall not exceed the total fees paid by that client for the specific project giving rise to the claim.

10. Termination

Either party may terminate a project engagement with written notice. In the event of termination:

  • The client is liable for payment of all work completed up to the date of termination.
  • The deposit is non-refundable unless Valley Developers is unable to commence the agreed work.
  • Valley Developers will deliver all completed work assets to the client upon receipt of outstanding payment.

11. Confidentiality

Valley Developers will keep confidential any non-public business information shared by the client in the course of a project engagement and will not disclose it to third parties without the client’s consent, except as required by law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Israel. Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Israel. The parties agree to attempt good-faith negotiation before initiating legal proceedings.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms. We will update the “Last Updated” date at the top of this page when changes are made.
